These Purchase Conditions apply to all purchases of services from Gradio Safety LTD (Company No. 17456330), including the Lite (€100), Basic (€250), Standard (€300), and Advanced (€500) packages, as well as any custom engagements. They apply whether you purchase through our website, by email, or through a signed engagement letter.

These conditions work alongside our other policies. Where there is a conflict, the order of precedence is:

3. How to place an order

You can place an order through the following process:

  • Step 1 — Select a package: Choose a package on our Pricing page or contact us for a custom quote.
  • Step 2 — Contact us: Email info@gradiosafetyltd.com or use our contact form to describe your project and confirm the package you want.
  • Step 3 — Scope confirmation: We review your request and confirm the scope, deliverables, timeline, and price. For packages, this is a quick confirmation. For custom engagements, we send a detailed proposal.
  • Step 4 — Contract: We send an engagement letter (or contract for custom engagements) for your review. You sign it electronically or by email confirmation.
  • Step 5 — Payment: You pay the upfront amount (100% for Lite, 50% for other packages) via card or bank transfer.
  • Step 6 — Scheduling: We schedule the consultation call and/or begin work according to the package timeline.
// order acceptance
→ An order is not confirmed until we have explicitly accepted it in writing
→ Acceptance occurs when we send the signed engagement letter or payment confirmation
→ We reserve the right to refuse an order for any legitimate reason
→ Reasons may include: scope mismatch, conflict of interest, sanctions hit, or capacity constraints

4. Contract formation

A legally binding contract between you and us is formed when all of the following conditions are met:

  • You have submitted an order (by email, contact form, or other written communication)
  • We have confirmed acceptance of your order in writing
  • The engagement letter has been signed by both parties (or confirmed by email for standard packages)
  • The upfront payment has been received and cleared

Until all four conditions are met, no contract exists and neither party is legally bound. If you make a payment before we have accepted your order, we will either confirm acceptance and proceed, or refund the payment within 5 business days.

Any quotation or proposal we provide is an invitation to treat, not a binding offer. The binding offer is made when we send the signed engagement letter, and you accept it by signing and paying.

5. Pricing and currency

All prices are listed in EUR (€) and are fixed for the duration of the engagement. Once you have paid, the price cannot change — there are no hidden fees, surcharges, or additional costs unless you request additional work outside the agreed scope.

Advanced5–7 business days after upfront paymentWithin 15 business days of call30 days after delivery + 60-min follow-up call

9.1 What can delay delivery

The following factors may extend the delivery timeline and are not considered a breach of these conditions:

  • You have not provided information we requested (project description, architecture diagrams, codebase access)
  • You have not responded to clarification questions within a reasonable time
  • You have rescheduled the kickoff call
  • Force majeure events (see Section 16)
  • Illness or emergency on our side (we will communicate this promptly)

If delivery is delayed due to factors on your side for more than 30 days, we may (at our discretion) deliver the service based on the information available and close the engagement. The second payment remains due.

9.2 Delivery method

Deliverables are delivered electronically:

  • Documents (reports, recommendations, roadmaps) are sent as PDF by email
  • Diagrams are sent as editable source files (draw.io or Excalidraw) plus PNG exports, by email or download link
  • Consultation calls are held via Google Meet or Zoom
  • Follow-up support is provided by email

10. Client obligations

To enable us to deliver the services, you agree to:

  • Provide accurate and complete information about your project, system, and requirements
  • Provide architecture diagrams, documents, or codebase access as required by the package
  • Respond to clarification questions within a reasonable time (ideally within 3 business days)
  • Attend the scheduled consultation call at the agreed time
  • Make payments on time according to the payment schedule
  • Provide a valid email address for invoice delivery and communication
  • For the Advanced package: sign an NDA before providing codebase access
  • Inform us of any changes to your contact details, project scope, or timeline as soon as possible

11. Intellectual property

11.1 Ownership of deliverables

Upon full payment (including the second instalment), all intellectual property rights in the deliverables are transferred to you. This includes:

  • Architecture reports, recommendation documents, and roadmaps
  • Architecture diagrams (editable source files and exports)
  • Security review reports
  • Email summaries and action items

You receive a perpetual, worldwide, non-exclusive licence to use, modify, copy, distribute, and create derivative works from the deliverables for your internal business purposes. You may not resell, sub-licence, or distribute the deliverables to third parties as a commercial product.

11.2 Before full payment

Until the second instalment is paid (for packages with 50/50 payment), the deliverables are provided for review only. You may review them and provide feedback, but you do not have the right to use them commercially, share them with third parties, or implement the recommendations until the second payment is made. If the second payment is not received within 14 days of delivery, the licence is revoked and you agree to delete all copies of the deliverables.

11.3 Our retained rights

We retain the following rights:

  • Methodologies and tools: The underlying methodologies, frameworks, templates, and tools we use to create the deliverables remain our intellectual property. You receive the output, not the process.
  • Portfolio use: We may reference the engagement in our portfolio or case studies, provided we do not disclose confidential information. We will anonymise the client name unless you give explicit permission to use it.
  • Pre-existing IP: Any intellectual property we created before the engagement remains ours. We grant you a licence to use pre-existing IP only to the extent it is embedded in the deliverables.

12. Confidentiality and NDA

We treat all information you share with us as confidential. This includes: project descriptions, architecture diagrams, codebase, business plans, financial information, and any other non-public information you provide in connection with the engagement.

  • We do not disclose your confidential information to third parties without your consent, except as required by law
  • Access to your confidential information is restricted to the architect(s) working on your engagement
  • For the Advanced package (codebase review), we sign a mutual NDA before accessing your code
  • For all other packages, the confidentiality terms in the engagement letter apply. If no engagement letter is signed, the confidentiality terms in our Privacy Policy apply
  • Confidentiality obligations survive the end of the engagement and remain in force indefinitely

13. Cancellations and refunds

Cancellations and refunds are governed by our Refund Policy. The key points are:

  • You may cancel before work starts for a full refund of the upfront payment (within 14 days of payment)
  • If work has started, the upfront payment is non-refundable, but the second instalment is not charged if you cancel before delivery
  • If deliverables have been delivered, no refund is available — but the quality guarantee applies (see our Refund Policy Section 11)
  • Cancellation requests must be sent to info@gradiosafetyltd.com

14. Consumer rights

If you are a consumer (not a business), you have additional statutory rights that cannot be waived:

  • UK Consumer Rights Act 2015: Services must be performed with reasonable care and skill. If they are not, you have the right to require us to re-perform the service or to a price reduction
  • 14-day cancellation right: Under the EU Consumer Rights Directive and UK Consumer Contracts Regulations, you have 14 days to cancel from the date of payment. However, if you have explicitly requested that we start work before the 14-day period, you lose this right once the service is fully performed (see our Refund Policy Section 3)
  • Right to clear information: You have the right to receive clear information about the service, price, and terms before purchase. These Purchase Conditions and our Pricing page provide this information
  • Unfair terms: Under the Unfair Terms in Consumer Contract Regulations 1999, any term in these conditions that is found to be unfair may not be enforceable against you

If you are a business (B2B), these consumer rights do not apply, but you retain rights under the Unfair Contract Terms Act 1977 and common law.

15. Liability and warranty

15.1 Our warranty

We warrant that:

  • The services will be performed with reasonable care and skill (as required by the UK Consumer Rights Act 2015)
  • The deliverables will conform to the scope defined in the engagement letter
  • The deliverables will be original work, not plagiarised from third parties
  • The deliverables will be delivered in the formats described in the package description

If any of these warranties are breached, our quality guarantee applies (see our Refund Policy Section 11). We will fix the issue at no extra cost or refund the applicable amount.

15.2 Limitation of liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from an engagement is limited to the amount you paid for that engagement (e.g., €100 for Lite, €500 for Advanced)
  • We are not liable for indirect, consequential, or loss-of-profit damages arising from your use of the deliverables
  • We are not liable for decisions you make or actions you take based on our recommendations without independent verification
  • We are not liable for issues caused by information you did not provide or that was inaccurate
  • We are not liable for delays caused by factors outside our control (see Section 16)
// nothing in this section limits liability for:
→ Death or personal injury caused by negligence
→ Fraud or fraudulent misrepresentation
→ Any liability that cannot be excluded under applicable law (e.g., Consumer Rights Act 2015 for consumers)

16. Force majeure

Neither party is liable for failure or delay in performing their obligations if the failure is caused by an event beyond their reasonable control, including but not limited to:

  • Natural disasters (fire, flood, earthquake, storm)
  • Pandemics or epidemics
  • War, armed conflict, or terrorism
  • Government actions, sanctions, or regulatory changes
  • Cyberattacks on our infrastructure or our sub-processors (Cloudflare, Vercel, upstream providers)
  • Internet or telecommunications failures
  • Strike action (not involving our own employees)

If a force majeure event occurs, the affected party will notify the other party within 5 business days and use reasonable efforts to resume performance as soon as possible. If the event continues for more than 60 days, either party may terminate the engagement. In that case, you will pay for work completed up to the date of termination, and any upfront payment for undelivered work will be refunded.

17. Data protection

Both parties comply with the UK GDPR, EU GDPR, and Data Protection Act 2018 in relation to any personal data processed in connection with the engagement. For details on how we process personal data, see our Privacy Policy. For details on cookies, see our Cookie Policy.

If the engagement requires us to process personal data on your behalf (e.g., reviewing a system that contains user data), we will sign a Data Processing Agreement (DPA) as a separate document before work begins.

18. Governing law and jurisdiction

These Purchase Conditions and any contract formed under them are governed by the laws of England and Wales. The English courts have exclusive jurisdiction over any disputes arising from or in connection with these conditions or any engagement, except:

  • If you are a consumer in the EU, you may bring proceedings in the courts of the EU member state where you reside
  • If you are a consumer in the UK, you may bring proceedings in the courts of the part of the UK where you reside
  • Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information

19. Dispute resolution

If a dispute arises, we encourage you to contact us first. Most disputes can be resolved through direct communication. Our dispute resolution process is:

  • Step 1 — Direct contact: Email info@gradiosafetyltd.com with details of the dispute. We will respond within 5 business days and propose a resolution.
  • Step 2 — Escalation: If the response is not satisfactory, escalate to the director by emailing info@gradiosafetyltd.com with "Escalation — Director" in the subject line. The director will review and respond within 10 business days.
  • Step 3 — ADR: If the dispute remains unresolved, we are registered with an Alternative Dispute Resolution (ADR) provider. We will provide their contact details on request. ADR is voluntary for both parties.
  • Step 4 — EU ODR: EU consumers may use the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
  • Step 5 — Court: If all else fails, either party may initiate court proceedings in accordance with Section 18.

20. Changes to these conditions

We may update these Purchase Conditions from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Publish the updated conditions on this page
  • Notify existing clients with active engagements by email if the changes affect their rights or obligations

The conditions that apply to your purchase are those in effect on the date your contract was formed (see Section 4). Subsequent changes do not retroactively affect purchases already made.
